Legal Counsel
Department: Legal and Corporate Compliance – Legal Division.
Location: Amman, Jordan.
Reports To: General Counsel – Legal and Corporate Compliance.
Position Summary.
Reporting to the General Counsel, the Legal Counsel will serve as a legal generalist, providing broad support across the company’s legal matters while ensuring compliance with applicable laws and regulations. The role encompasses advising on a wide range of legal issues, drafting and reviewing legal documents and agreements, managing external counsel, and supporting governance processes. Key areas of focus include labor law, litigation, and corporate governance, as well as conducting follow-ups with competent authorities on legal and regulatory matters. The Legal Counsel will also manage matters related to the company’s intellectual property. The role requires a highly organized professional with strong follow-up skills, capable of preparing and maintaining lists, reminders, and agendas to ensure timely completion of all tasks. This position calls for a proactive, results-driven professional who is eager to work, operates independently, is tech-savvy in using legal and productivity tools, and can hit the ground running from day one.
Key Responsibilities.
- Labor Law and Employment Matters:
- Provide expert legal advice on labor law and social security matters.
- Support HR in handling employee relations, disciplinary actions, and terminations in compliance with applicable laws.
- Participate in and guide internal investigations related to employees and the company.
- Litigation and Dispute Resolution:
- Manage and oversee litigation cases, including developing strategies and preparing documentation.
- Liaise and follow up with external counsel to ensure effective representation in all legal proceedings.
- Contracts and Official Documentation:
- Draft, review, and negotiate official documents, undertakings, and contractual agreements in Arabic and English.
- Ensure that all documents comply with applicable laws and protect the company’s legal interests.
- Follow-ups with Competent Authorities:
- Represent and follow up with the competent authorities on legal matters concerning the company.
- Ensure timely submission and follow-up of all required legal documents and filings.
- Draft and submit undertakings, official letters, and responses to governmental and regulatory bodies.
- Corporate Governance:
- Support corporate governance processes, including assisting with the preparation of Board of Directors materials, maintaining corporate records, and ensuring compliance with governance requirements.
- Ensure compliance with public shareholding company requirements in line with applicable laws and regulations.
- Intellectual Property (IP) Management:
- Centrally manage the company’s IP portfolio, including maintaining an updated log of all trademarks owned or used by the company and its subsidiaries.
- Follow up on trademark filings, renewals, oppositions, enforcement actions, and related deadlines in coordination with external IP counsel (if applicable).
- Ensure proper documentation, tracking, and internal reporting of all IP matters.
Qualifications and Experience.
- Bachelor’s degree in law (LLB) from a recognized university; Master’s degree (LLM) is an advantage.
- Admitted to practice law in Jordan.
- Minimum 5 years of post-qualification legal experience, preferably with a mix of in-house and law firm work.
- Proven expertise in labor law, litigation, corporate governance, and engagement with governmental authorities is highly preferred.
- Fluent in Arabic and English, with strong legal drafting skills in both languages.
- Experience in manufacturing or pharmaceutical sectors is a plus.
