About the Role
We are seeking a Vice President-level Corporate / Board Secretary to support the Board of Directors and report directly to the CEO of a leading investment firm in Dubai.
This is a senior governance role responsible for ensuring the effectiveness of the Board, maintaining strong corporate governance standards, and overseeing all board-related processes in line with regulatory requirements. The role also acts as a trusted advisor to the CEO and Board on governance matters.
Key Responsibilities
- Lead the planning, coordination, and execution of Board and Committee meetings
- Prepare agendas, meeting materials, presentations, and board packs
- Attend Board and Committee meetings, take accurate minutes, and ensure proper documentation
- Ensure follow-up and execution of Board decisions and action points
- Advise the Board, Chairman, and CEO on corporate governance matters
- Ensure full compliance with applicable regulatory and governance frameworks
- Maintain and oversee corporate governance records, policies, and board documentation
- Manage communication between the Board, CEO, and senior management
- Support director onboarding, evaluations, and governance processes
- Oversee General Assembly processes and shareholder-related governance requirements
- Ensure confidentiality, integrity, and accuracy in all Board-related matters
- Maintain board calendars, structures, TORs, and key governance documentation
- Coordinate with Legal, Compliance, and Investor Relations functions
Requirements
- Strong legal background (Law degree or equivalent governance/legal expertise)
- Significant experience in corporate governance, board secretariat, or legal/regulatory functions
- Prior exposure within investment banking or financial services is highly preferred
- Strong understanding of board structures, governance frameworks, and regulatory environments
- Exceptional organizational, documentation, and communication skills
- High level of professionalism and discretion
- Ability to operate confidently at Board and C-suite level
- Strong stakeholder management skills across executive leadership
