Position Description:
· Draft & review contracts and documents in relation to Human Resources from a legal perspective.
· Advise on, review, draft and negotiate all types of legal contracts and agreements such as, service & maintenance, management &Operation, NDA, MOU, POT, Shareholders Agreements, and all construction-related agreements in both Arabic & English.
· Assist the legal Director in any legal or compliance issues.
· Draft legal documents, letters, agreements, undertakings, legal opinions and notices which are referred to the legal department to ensure that the company's interests are fully protected.
· Review and standardize contracts and develop standardized agreements.
· Provide prompt and correct legal opinion on all contracts to be signed by the company addressing all issues.
· Research and provide legal opinions on complex issues.
· Proactively propose appropriate legal structures for transactions to minimize costs and increase legal protection.
· Investigate, negotiate and legally advise on legal disputes and claims.
· Assist in developing and modifying policies and procedures to conform to legal or compliance requirements.
· Develop and implement strategies for effective contract management and ensure all contracts are stored, tracked, and monitored for performance and compliance.
· Advise on impending changes to legislation proactively and propose operational changes to cater to developments in the law for greater compliance and best practices.
· Liaise with external lawyers/firms on legal matters and leverage their expertise; Assist the company with engagement of external legal counsel.
· Collaborate with various departments (e.g, finance, operations, procurement) to ensure contractual obligations are fulfilled and business interests are protected.
· General advisory on legal aspects related to the project and assuring that the Company's interests are well preserved as per the contract and applicable laws and regulations.
· Follow up on all legal matters related to the project and to the Company's corporate requirements.
· Resolve disputes or issues related to contracts, including renegotiations or potential breach situations.
· Prepare and maintain accurate records of contract audits, compliance reports, and any issues related to contract performance.
· Advise on all legal aspects related to the contract and its requirements in order to maintain and preserve the Company's rights and entitlement in relation thereto:
1- Advise on, review and draft all necessary correspondence and claims to be addressed to the parties to the contract.
2- Attend meetings whenever requested by the Company, review, and advise on minutes of meetings upon request.
Qualifications:
- Bachelor’s degree in law; master’s degree is preferred.
- A minimum of 12 years of related experience.
- Membership of the Jordanian Bar Association.
- Ability to draft, review agreements & contracts.
- Excellent command in English and Arabic languages.
